SecurelyWP Commercial License Agreement

This Commercial License Agreement ("Agreement") governs the use of the SecurelyWP Premium plugin ("Software") provided by SecurelyWP ("Licensor"). By purchasing, downloading, installing, or using the Software, you ("Licensee") agree to be bound by the terms of this Agreement.

1. License Grant
Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable license to use the Software on a single WordPress installation (single site or multisite network) per license purchased, solely for Licensee's internal business or personal use. The Software may be used in accordance with the documentation and as intended for securing and managing WordPress sites.

2. Restrictions
Licensee shall not:
- Distribute, sell, sublicense, rent, lease, or otherwise transfer the Software to any third party.
- Modify, adapt, reverse engineer, decompile, or disassemble the Software, except as permitted by applicable law.
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices in the Software.
- Use the Software to provide services to third parties (e.g., as a service provider) without express written permission from Licensor.

3. Ownership
The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights. Licensee does not acquire any ownership rights in the Software.

4. Support and Updates
Licensor provides support and updates for the Software for a period of one (1) year from the date of purchase, subject to the terms outlined in the support policy at https://securelywp.com/support/. Support and updates may be renewed at Licensee's option.

5. Termination
This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if Licensee breaches any term of this Agreement. Upon termination, Licensee must cease all use of the Software and destroy all copies in its possession.

6. Disclaimer of Warranty
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL MEET LICENSEE'S REQUIREMENTS OR OPERATE WITHOUT INTERRUPTION OR ERROR.

7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY LICENSEE FOR THE SOFTWARE.

8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction, e.g., Delaware, USA], without regard to its conflict of laws principles. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in [Insert Location, e.g., Wilmington, Delaware].

9. Entire Agreement
This Agreement constitutes the entire agreement between Licensor and Licensee regarding the Software and supersedes all prior or contemporaneous agreements, understandings, or representations. This Agreement may not be modified except in writing signed by both parties.
